Terms & Conditions
1. CLIENT AGREEMENT
The Client will be taken to have accepted these Terms and Conditions if the Client ticks the associated ‘I agree to the Terms and Conditions’ box and proceeds to accept or pay for any services provided for by the Service Provider, ‘Cromwell Solutions’, after receiving or becoming aware of these Terms and Conditions.
2. SERVICES
(a) In consideration for the payment of fees as outlined on the ‘Cromwell Solutions’ website, the Service Provider will provide the Client with services as described.
(b) Unless otherwise agreed, the Service provider, may in its discretion:
(i) Not commence work on any Services until the Client has paid any Fees payable in respect of such Services; and
(ii) Withhold delivery of Services until the Client has paid an invoice in respect of such Services.
(c) Standard website bookings for Leadership Mentoring, Teacher Support and Life Coaching sessions are considered to be conducted via Zoom or alternate online communication, unless otherwise quoted for.
(d) Training courses are conducted at the venue specified; or at the Client’s site as quoted. Where training is conducted at the Client’s venue, the Client is responsible for providing a training environment conducive to learning, including a classroom or meeting room with audio visual capabilities such as a projector and/or TV.
3. CANCELLATIONS / CHANGES TO BOOKINGS / REFUNDS
We kindly request maximum notice for all cancellations/rescheduling. This enables sufficient time to make amendments to other appointments and travel.
Leadership Mentoring / Teacher Support / Life Coaching sessions
Client requested cancellations and amendments
- Notice of 48 hours or more – Full refund / Change of Date available
- Notice of less than 48 hours – 50% refund upon cancellation or ‘no-show’
Mental Health First Aid Training
Client requested cancellations and amendments
- 28 days or more – Full refund / Change of Date available
- 28 – 14 days – 50% refund / Change of Date available
- Less than 14 days – Nil refund / No Change of Date available
All Services
Cancellations / amendments requested by Cromwell Solutions
An agreed reschedule to a future date /time or full refund will be provided.
4. CLIENT OBLIGATIONS
4.1 PROVIDE INFORMATION AND LIAISON
(a) The Client must provide Cromwell Solutions with all documentation, information and assistance reasonably required for the Service Provider to perform the Services.
(b) The Client agrees to liaise with Cromwell Solutions as it reasonably requests for the purpose of enabling the Service provider to provide the Services.
(c) The Client will conduct themselves in a safe manner that will not pose risk of harm to themselves, others nor property whilst liaising with, or engaging in Services with Cromwell Solutions.
5. OWNERSHIP OF INTELLECTUAL PROPERTY, COPYRIGHTS AND LOGOS
The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Cromwell Solutions. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.
6. INDEMNIFICATION
You agree to indemnify and hold ‘Cromwell Solutions’ harmless from any demands, loss, liability, claims or expenses (including legal fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.
7. LIMITATION OF LIABILITY
(a) To the maximum extent permitted by applicable law, in no event shall ‘Cromwell Solutions’, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.
(b) To the maximum extent permitted by applicable law, ‘Cromwell Solutions’ assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
8. RIGHT TO CHANGE AND MODIFY TERMS
We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review these pages periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms. Your continued use of the Website or our service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the website or the service.
